Legal support of USD4,2bln project for construction and operation of the Integrated Petrochemical Complex and Infrastructure in Atyrau region (Western Kazakhstan): • Participation in negotiations and drafting of the Offtake agreements, License agreements, PDP agreements etc.; • Participation in negotiations, support of drafting and analysis of Engineering, Procurement and Construction Contract in relation to the Petrochemical complex (EPC Contract); • Analysis and structuring of draft agreements for cross border transactions with nonresidents from tax perspective for optimization of tax burden; tax consulting during negotiation and drafting stage; • Identification and mitigation of various potential risks for the project with regard to the tax regime, foreign labor issues, customs issues etc. by discussion of such issues with the government officials and further initiation, drafting and full monitoring of corresponding amendments to the current legislation (Tax Code, Customs Code of SES, Labour Code, Employment Act, SEZ Act and various bylaws); • Preparation, hold of meetings and drafting of Minutes of meetings of the General meeting of Participants and the Supervisory Board; • Participation in working group of Jurong Consultants with regard to preparation of report on outstanding issues of legislation on SEZ and development program; Participation in working group of Customs Code of SES; Participation in working group on amendments to legislation on SEZ; • Drafting and analysis of administrative and maintenance agreements of the company; • Drafting and analysis of internal regulations of the company.

Position – Tax and legal consultant, Tax and legal Department. Main responsibilities and duties: · Participation in various tax and legal consulting projects, tax and legal compliance projects, tax and legal due diligence projects, tax review projects. · Preparation of written advice memorandums concerning taxation, subsoil use, business and labor law, customs procedures etc. · Preparation of written advice memorandum on legal and tax implications arising in connection to restructure of organizational structure of local and international holding companies. · Registration of legal entities, branch and representative offices with justice and tax authorities; obtainment of various licenses, certificates and state bodies’ permissions; settlement of various issues with tax, customs, justice authorities and local government. Had been personally involved in the following projects: · Tax and legal advisory on restructuring issues to the largest power generating group of companies in the East Kazakhstan; · Tax and legal advisory on various issues concerning restructuring of activities of the largest copper producing holding in Kazakhstan; · Tax and legal advisory on various implications arising in connection to organizational restructure of the large subsoil use company in Mangystau; · Ongoing advisory services during restructuring of activities of large oil producing company in Atyrau; · Customs advisory services to one of the agent company of NCOC; · Tax due diligence of the largest development and construction company in Astana; · Tax review services to one of the largest investment company in Astana; · Tax review services to the agent company owned by a largest oil producing company in Russia. Operating company develops a big oil field in Mangystau region.

Dealing primarily with litigation and other contentious matters in the Litigation Section of the Legal Department. Pre-litigation settlement discussions to resolve the matter before a lawsuit is filed. Dealing with all legal issues relating to litigation in all Courts of the Republic of Kazakhstan brought by the Corporation including defending proceedings brought against the Corporation.

Full legal support of company’s activities. Contract formation (lease, contractor's agreement, supply agreement, contract of carriage, services agreement, agreement of purchase and sale etc.).
