● Representing Kazakhmys Group in the M&A transaction for acquisition of Kazphosphate LLP (valuation about US$1 billion), the largest producer of fertilizers and yellow phosphorus, which also possesses the largest phosphorus deposits. In this role I took charge of: - drafting and negotiating the sale purchase agreement (SPA) as well as supplementary documentation such as side letters, term sheets, and other relevant materials. - securing the necessary approvals from the antitrust authority and the Ministry of Industry and Infrastructure Development for the acquisition of the subsoil user. ● Representing Kazakhmys Group in obtaining a leveraged finance loan from leading commercial bank to facilitate the acquisition of Kazphosphate LLP through a 100% leveraged buyout. - drafting and negotiating the facility agreement and the relevant security documentation. ● Representing Kazakhmys Group in the M&A transaction for sale of shares in the parent company of Kazphosphate LLP to the foreign investor. In this role I took charge of: - structuring M&A transaction, including legal and tax evaluation. - drafting and negotiating the shares sale purchase agreement (SPA) as well as supplementary documentation such as side letters, term sheets, supplemental agreements, and other relevant documents. - drafting disclosure letters describing risks associated with the activities of the group’s companies. - drafting and negotiating the shareholders agreement and handling the corporate governance issues with the foreign investor. - securing the necessary approvals from the antitrust authority and the Ministry of Industry and Infrastructure Development for the acquisition of the subsoil user. - providing legal support of activities of the company in accordance with the laws of AIFC, including issues relating to registration of companies, transfer of shares, appointment of directors. - providing legal support for due diligence process of the company. ● Managing matters pertaining to corporate governance including Shareholders meeting, Board of Directors management. Responsibilities include preparing meeting agendas and materials, recording actions, maintaining corporate records, and implementing items approved by the Shareholders meeting and Board of Directors. ● Providing strategic legal advice and support to the business on all legal matters, including antitrust law issues, subsoil use law issues, contract law (delivering drafting/reviewing/negotiating commercial contracts), labour law.

● Provided legal support for implementation of various significant investment projects, including: - US$8 billion project for construction of polyethylene production petrochemical facility. My key responsibilities involved drafting, reviewing, and negotiating various agreements and term sheets with a prominent foreign investor recognized as a global leader in advanced and sustainable polyolefin solutions. These agreements encompassed crucial aspects such as joint venture arrangements, feedstock supply, product offtake, license agreements, project financing arrangements, utilities supply, and an intergovernmental agreement to secure governmental support. - US$2 billion project for construction of ammonia and urea production chemical facility. My key responsibilities involved drafting, reviewing, and negotiating various agreements and term sheets with a state-owned Chinese corporation, including joint venture arrangements, product offtake, license agreements. - US$3 billion project for construction of polypropylene production petrochemical facility. My key responsibilities involved legal supporting and advising on various legal issues related to EPC contract, offtake agreement, license agreement, feedstock supply agreement. - US$2 billion projects for construction of infrastructure and utilities in Karabatan. My key responsibilities involved legal supporting and advising on various legal issues related to EPC contracts. - Sulphuric acid production plant, Polypropylene bags production plant, glyphosate production plant, Managing companies of special economic zones “Chemical Park Taraz” and “Petrochemical Park Atyrau”. My key responsibilities involved managing matters pertaining to corporate governance, litigation (indebtedness recovery), initiating amendments to laws, cooperation with the contractors on legal issues. ● Overseeing legal compliance for the company and its subsidiaries, ensuring full adherence to all applicable laws and regulations. This involved conducting thorough assessments and implementing robust compliance measures to maintain the highest standards of corporate governance and legal conformity.

● Provided legal support for US$300 million project for north expansion of Aktau Seaport through construction of two dry-cargo berths, one grain terminal and associated infrastructure with the total capacity of 2.5 – 3.0 million tons per year. My key responsibilities involved drafting, reviewing, and negotiating various agreements, including EPC Contract, Offtake Agreement, Equipment Supply Agreements etc. ● Represented the project company in its project financing from UK based bank, including drafting, reviewing, and negotiating facility agreement and the relevant security documentation. ● Obtained a permit from the Government of RoK for pledging a strategically significant object, a seaport. ● Ensuring that the company conducts its business in compliance with applicable laws, including managing matters pertaining to corporate governance.

● Provided legal support for US$3 billion project for construction of polypropylene production petrochemical facility. My key responsibilities involved drafting and negotiating EPC Contract with the potential EPC contractors, preparation of the relevant legal documents for ITB (invitations to bid), explanation of the terms and conditions of the draft EPC Contract to bidders. ● Negotiated the termination of EPC Contract and the terms and conditions of the close-out and settlement agreement. ● Provided strategic legal advice and support to the business on all legal matters, including project financing, offtake arrangements, drafting and negotiating local construction contracts, PMC Contracts, Offtake Contract, Feedstock Supply Agreements.

● Advised clients mainly foreign companies in oil and gas industry on various legal issues in accordance with Kazakh Legislation, including drafting of legal opinions, memorandums, representation of clients’ interests in relations with state bodies.
